Terms of Service

1. Introduction
These Terms govern your access to and use of the SOL website and services (the "Platform"). By creating an account or using the Platform, you agree to these Terms and the policies linked below. If you do not agree, do not use the Platform.
The Platform provides online tools that may help users discover one another, publish listings, communicate, and arrange transactions. Unless a specific service is expressly identified as being provided by SOL, users contract directly with one another. SOL is not the seller, owner, lender, borrower, employer, agent, insurer, custodian, or guarantor of a user's item, service, statement, or performance.
2. Eligibility and Account Responsibility
You must be at least 18 years old, have legal capacity to contract, and use the Platform only where doing so is lawful. You are responsible for accurate account details, keeping credentials secure, and activity under your account. Notify us promptly of suspected unauthorized access.

- Accept responsibility for all actions completed through your account.
3. Services and Verification
We may offer identity or listing checks, but a check is limited in scope and is not a certification, endorsement, guarantee of identity, qualification, ownership, safety, creditworthiness, or future conduct. Users must independently assess one another and any item or service before proceeding.
- Users must provide truthful descriptions, prices, availability, qualifications, and transaction terms.
- Users are solely responsible for deciding whether to proceed and for complying with applicable laws.
- We may request verification or restrict accounts where information is false, incomplete, or concerning.
4. Platform Fees and Payments
Any Platform subscription, listing, advertising, service, or transaction fee will be disclosed before the relevant purchase. The amount, duration, currency, taxes (if applicable), renewal terms, and refund eligibility shown at checkout or in the applicable policy govern that purchase. Do not rely on an unstated fee or an old price shown elsewhere.
- Payments may be handled by third-party payment providers under their own terms.
- Unless the Platform expressly confirms otherwise for a specific transaction, SOL does not hold, escrow, insure, collect, or release money exchanged directly between users.
- Users are responsible for confirming the recipient, amount, currency, payment timing, and any refund or cancellation terms before paying.
5. User Conduct
You may not use the Platform for unlawful, deceptive, abusive, unsafe, or infringing purposes. You must not impersonate anyone, post false or misleading information, harass or threaten users, manipulate reviews, interfere with the Platform, evade account restrictions, or misuse another person's data or content.
- No unlawful goods or services, stolen property, counterfeit goods, or prohibited items.
- No spam, fake reviews, fraud, harassment, threats, discrimination, or coercion.
- No unauthorized access, scraping, malware, or attempts to bypass security or payment controls.
6. Swap & Borrow Marketplace
Swap and borrowing listings and messages are user-generated. The users involved, not SOL, are responsible for negotiating and documenting the item, ownership, condition, value, handover, return, fees, deposits, deadlines, and remedies. No agreement exists merely because a listing or inquiry is posted.
Before handing over an item, each party should verify identity and authority, inspect and document the item's condition, agree in writing to all material terms, and use a safe handover location. Borrowers must return items on time and in the agreed condition, ordinary wear excepted only where the parties agree. See the Swap & Borrow Rules.
SOL does not inspect, possess, transport, repair, value, insure, or guarantee marketplace items, and does not collect or enforce user-to-user deposits, fees, late charges, or compensation unless a specific Platform feature expressly says otherwise. Statutory rights and liabilities that cannot lawfully be excluded remain unaffected.
7. User Content and Permission
You retain ownership of content you submit. You grant SOL a non-exclusive, worldwide, royalty-free permission to host, reproduce, display, adapt for technical formatting, and distribute that content only as reasonably needed to operate, secure, promote, and improve the Platform. You confirm you have the rights needed to submit it. We may remove content that violates these Terms or creates legal, safety, or operational risk.
8. Third-Party Services
The Platform may link to or rely on third-party websites, payment providers, communications tools, or other services. Those services are controlled by their providers and may have separate terms and privacy notices. We are not responsible for third-party services, except to the extent applicable law provides otherwise.
9. Platform Intellectual Property
The Platform's software, design, trademarks, and materials are owned by SOL or its licensors and are protected by law. Except as permitted by law or with written permission, you may not copy, modify, distribute, reverse engineer, or commercially exploit them.
10. Suspension and Termination
We may remove content, limit features, suspend, or close an account where reasonably necessary to enforce these Terms, address safety or legal risk, investigate suspected fraud, protect users or the Platform, or comply with law. Where practical, we may provide notice and an opportunity to respond. Account closure does not cancel accrued obligations or rights that survive termination.
11. Disclaimer and Liability
The Platform is provided on an "as available" basis. To the extent permitted by applicable law, we do not warrant uninterrupted or error-free access, the accuracy of user content, or a particular transaction outcome. Nothing in these Terms excludes or limits a right, warranty, remedy, or liability that applicable law does not allow to be excluded or limited.
To the extent permitted by law, SOL is not liable for indirect or consequential loss, loss of profit, or loss arising from user-to-user dealings or events outside our reasonable control. Any liability that cannot be excluded is limited to the minimum extent the law permits; nothing here limits liability for fraud, wilful misconduct, or other liability that cannot lawfully be limited.
12. Indemnity
To the extent permitted by applicable law, you are responsible for losses, claims, and reasonable costs arising from your breach of these Terms, unlawful use of the Platform, infringement of another person's rights, or your transaction with another user. This does not require you to indemnify us for our own unlawful conduct or for liability that cannot legally be shifted to you.
13. Changes and Severability
We may update these Terms to reflect changes in the Platform, law, or risk controls. We will publish the revised Terms with a new effective date and provide additional notice where required. Changes apply prospectively unless applicable law permits otherwise. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue in effect.
14. Governing Law and Disputes
These Terms are governed by the laws of Ghana. The courts of Ghana have jurisdiction, subject to any mandatory consumer protection rights or dispute procedures that apply to you. Users should first contact support to attempt an informal resolution; this does not prevent either party from pursuing a legal remedy.
