For the purposes of these Terms of Service, the following definitions apply throughout this document and all related legal documents published by ErrSol: "Platform" means the ErrSol website, mobile interface, APIs, and all associated services. "We," "Us," "Our," or "ErrSol" refers to the company and its operators, administrators, and employees. "User" means any individual or entity who accesses, registers on, or uses the Platform in any capacity. "Client" means a registered user who uses the Platform to post jobs, hire workers, and commission services. "Worker" means a registered user who uses the Platform to offer services, respond to job postings, and deliver work to clients. "Job" means a service request or task posted by a Client on the Platform. "Agreement" means the binding contract formed between a Client and a Worker upon acceptance of a job offer, governed by these Terms. "Upfront Deposit" means the mandatory 20% advance payment made by a Client to the Platform upon agreement of a job. "Platform Fee" means the percentage deducted from completed transactions as the Platform's service charge. "Wallet" means the digital balance held within a User's ErrSol account for transactions on the Platform. "ID Verification" means the process by which a Worker submits government-issued identity documents for authentication by ErrSol. "Verified Worker" means a Worker whose identity has been confirmed and approved by ErrSol through the ID Verification process. "Dispute" means any unresolved disagreement between a Client and a Worker concerning service delivery, payment, or conduct. 2. Eligibility & Account Registration 2.1 Age Requirement You must be at least eighteen (18) years of age to register for and use ErrSol. By creating an account, you represent and warrant that you meet this age requirement. ErrSol reserves the right to terminate any account found to belong to a person under 18 without notice. 2.2 Account Accuracy When registering, you agree to provide accurate, current, and complete information including your full legal name, a valid email address, and a working phone number. You are responsible for maintaining the accuracy of this information at all times. Providing false, misleading, or incomplete registration information is a material breach of these Terms and may result in immediate account termination. 2.3 One Account Per Person Each individual may maintain only one (1) account on the Platform. Creating multiple accounts to circumvent suspensions, bans, limitations, or for any other purpose is strictly prohibited. ErrSol may merge, suspend, or permanently remove duplicate accounts. 2.4 Account Security You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify ErrSol immediately upon discovery of any unauthorized use of your account. ErrSol will not be liable for any loss resulting from unauthorized access to your account caused by your failure to adequately secure your credentials. 2.5 Non-Transferability Your account is personal to you and may not be sold, transferred, assigned, or otherwise shared with any third party. Any attempt to transfer an account renders the account subject to immediate termination. 3. Identity Verification 3.1 Mandatory Verification for Workers All Workers are required to complete identity verification before they may apply for jobs, accept hire requests, communicate with clients, or perform any service through the Platform. Identity verification is a non-negotiable prerequisite for active participation as a Worker. Unverified Workers are limited to viewing public content only. 3.2 Accepted Identification Workers must submit a valid, unexpired, government-issued identity document. Accepted documents include national identity cards, passports, driver's licences, and voter's identification cards. ErrSol reserves the right to request additional documentation if the submitted identification is unclear, incomplete, or raises concerns. 3.3 Use of Identity Data for Security Purposes By submitting your identification documents, you expressly consent to ErrSol using that information for the following security purposes: Verifying your legal identity and confirming your right to work; Cross-referencing your submitted information against public records or third-party verification services; Investigating disputes, fraudulent activity, or misconduct allegations; Cooperating with law enforcement or legal proceedings where required by applicable law; Preventing platform abuse, impersonation, and fraudulent job engagements. 📌 Your government-issued ID may be used as evidence in dispute resolution proceedings and legal investigations. By submitting your ID, you acknowledge this and consent to its controlled use for the purposes above. 3.4 Verification Timeline ErrSol will review submitted identity documents within a reasonable time. Workers will be notified of their verification status via the Platform and by email. During the review period, Workers are restricted from full Platform participation. ErrSol does not guarantee any specific verification timeline and accepts no liability for delays caused by third-party verification services or document quality issues. 3.5 Rejection of Verification ErrSol reserves the right to reject identity verification where submitted documents are fraudulent, altered, expired, unclear, or fail to satisfy our verification standards. Rejection does not automatically result in account termination, but the Worker will remain in restricted status. Repeated submission of fraudulent documents will result in permanent account termination and may be referred to law enforcement. 4. Platform Role & Limitations 4.1 Marketplace Only ErrSol operates exclusively as a technology-enabled marketplace that facilitates connections between Clients and Workers. ErrSol is not a party to any service agreement between a Client and a Worker and does not employ, supervise, or control Workers in the performance of their services. 4.2 No Guarantee of Outcomes ErrSol does not guarantee the quality, safety, suitability, or outcome of any services performed through the Platform. While we take steps to verify Worker identities and facilitate dispute resolution, final responsibility for assessing a Worker's suitability for a job rests with the Client. 4.3 Independent Contractors Workers are independent contractors and not employees, agents, or representatives of ErrSol. Nothing in these Terms creates any employment, partnership, agency, franchise, or joint venture relationship between ErrSol and any Worker or Client. 5. Client Obligations By using the Platform as a Client, you agree to the following obligations: Post jobs accurately, completely, and honestly, with no misleading descriptions of the work required; Communicate with Workers respectfully, professionally, and within the Platform's messaging system; Pay the required 20% upfront deposit upon agreement of a job before any work commences; Pay the full agreed amount upon satisfactory completion of the service; Not attempt to engage, solicit, or pay Workers outside the Platform to circumvent fees or platform oversight; Provide Workers with adequate information, access, and resources required to perform the agreed service; Not post jobs that are illegal, unethical, or in violation of these Terms; Not make false or malicious reviews or complaints against Workers; Respond to Platform dispute inquiries in a timely and cooperative manner. 6. Worker Obligations By using the Platform as a Worker, you agree to the following obligations: Complete identity verification before applying for any job or accepting any hire request; Represent your skills, qualifications, and experience honestly and accurately in your profile and job applications; Deliver the services you have agreed to perform to a professional standard and within the agreed timeframe; Communicate with Clients exclusively through the Platform's messaging system for all job-related matters; Not engage in side deals, off-platform payments, or any arrangement designed to circumvent Platform fees or oversight; Notify the Platform promptly if you are unable to complete a job you have accepted, before work is due; Not misrepresent job completion status or claim payment for work not performed; Accept that failure to complete an agreed job without valid cause may result in a refund to the Client and disciplinary action against your account; Conduct yourself professionally and refrain from harassment, threats, or abusive behaviour toward any Client. 7. Payment Terms & Upfront Deposit 7.1 Mandatory 20% Upfront Deposit A mandatory upfront deposit of twenty percent (20%) of the total agreed job amount is required from the Client before any work may commence. This deposit is non-negotiable and forms a binding financial commitment by the Client to honour the full agreed payment upon satisfactory completion of the service. The 20% upfront deposit serves the following purposes: Confirming the Client's genuine intention to proceed with the engagement; Providing the Worker with financial assurance before investing time and resources into the job; Creating an auditable record of the agreed transaction amount for dispute resolution purposes. 7.2 Agreement on Total Amount Before any job commences, both the Client and the Worker must mutually agree on the total compensation amount. This agreed amount becomes the binding financial basis of the engagement. Neither party may unilaterally alter the agreed amount after work has commenced without the express written consent of the other party communicated through the Platform's messaging system. 7.3 Remaining Balance Upon satisfactory completion and acceptance of the service, the Client is obligated to pay the remaining balance of the agreed total amount. Failure to pay the remaining balance after satisfactory service delivery constitutes a breach of these Terms and will result in Platform intervention, which may include suspension of the Client's account. 7.4 Payment Methods All payments must be processed exclusively through the Platform's authorised payment gateway (Paystack). ErrSol accepts payments in Ghana Cedis (GHS). Off-platform payments are strictly prohibited and will result in disciplinary action against both parties involved. 7.5 Currency All transactions on the Platform are conducted in Ghana Cedis (GHS) unless otherwise specified. ErrSol accepts no responsibility for currency conversion losses on any transactions. 8. Platform Fee A platform service fee is deducted from the Worker's earnings upon completion and payment of each job. This fee covers the cost of maintaining the Platform, providing dispute resolution services, processing payments, and facilitating identity verification. The exact platform fee percentage is displayed at the time of job agreement and in your account settings. ErrSol reserves the right to revise the platform fee with thirty (30) days' advance notice to registered users. The fee is non-refundable once a completed job payment has been processed. 9. Messaging & Communication Monitoring ⚠️ ALL MESSAGES SENT BETWEEN CLIENTS AND WORKERS THROUGH THE ERRSOL PLATFORM ARE MONITORED. By using the Platform's messaging system, you expressly consent to the recording, storage, and review of your communications. 9.1 Scope of Monitoring ErrSol reserves the right to access, review, store, and analyse all messages exchanged between Users through the Platform's internal messaging system. This monitoring is conducted for the following legitimate purposes: Detecting and preventing fraud, scams, and off-platform payment solicitations; Identifying harassment, threats, abusive language, and prohibited conduct; Gathering evidence during dispute resolution investigations; Ensuring compliance with these Terms of Service; Complying with applicable laws and cooperating with law enforcement authorities; Protecting the safety and security of all Platform users. 9.2 Consent to Monitoring By sending any message through the Platform's messaging system, you unconditionally consent to the monitoring described in this section. If you do not consent to this monitoring, you must not use the Platform's messaging system and must not use the Platform at all. 9.3 Prohibited Messaging Conduct The following are strictly prohibited in Platform communications: Soliciting or offering to conduct transactions outside the Platform; Sharing personal bank account numbers, mobile money numbers, or payment credentials; Harassment, threats, insults, or abusive language of any kind; Sharing sexually explicit, offensive, or illegal content; Attempting to intimidate or coerce the other party; Providing false information or misrepresenting job status. 9.4 Evidence in Disputes Messages exchanged through the Platform may be used as evidence in dispute resolution proceedings and, where required by law, in legal proceedings. By using the Platform, you acknowledge and accept that your communications may be reviewed and potentially disclosed in this context. 10. Service Delivery Standards Workers are obligated to deliver all agreed services to the following standards: Services must be delivered within the agreed timeframe communicated through the Platform; The quality of delivered services must reasonably match what was described in the job agreement; Workers must be reachable through Platform messaging during the active service period; Any delays, difficulties, or inability to complete the service must be communicated to the Client and to the Platform promptly and in advance of the agreed deadline; Workers must not abandon a job after receiving the upfront deposit without valid, documented reason. 11. Disputes & Resolution 11.1 Initial Resolution Attempt In the event of a dispute between a Client and a Worker, both parties are first encouraged to attempt to resolve the matter through the Platform's messaging system in good faith. ErrSol recommends that both parties clearly communicate their positions, expectations, and proposed resolutions directly before escalating to formal dispute procedures. 11.2 Formal Dispute Submission If a dispute cannot be resolved between the parties, either party may submit a formal dispute request through the Platform's support system. Upon receipt of a formal dispute, ErrSol will initiate an investigation, which may include reviewing all Platform messages, payment records, job details, and submitted evidence from both parties. 11.3 ErrSol Dispute Decisions ErrSol's dispute resolution team will make a determination based on available evidence. This determination is final and binding on both parties. Factors considered include: Whether the agreed service was delivered; The content and tone of communications between the parties; Payment records and transaction history; Worker's identity verification status; Evidence provided by both parties; Whether the failure to deliver was within the Worker's control. 11.4 Cooperation Required Both parties are required to fully cooperate with any ErrSol dispute investigation. Failure to cooperate, respond within stated deadlines, or provide requested information will be treated as a negative factor in the determination and may result in a decision adverse to the non-cooperating party. 12. Prohibited Conduct The following conduct is strictly prohibited on the Platform and constitutes grounds for immediate account suspension or permanent termination: Misrepresenting identity, qualifications, skills, or experience; Conducting or soliciting transactions outside the Platform; Submitting fraudulent identity documents; Creating multiple accounts or impersonating another user; Posting illegal, fraudulent, or deceptive job listings; Harassing, threatening, or abusing any user; Attempting to manipulate or game the Platform's review or rating system; Reverse engineering, scraping, or otherwise interfering with Platform infrastructure; Engaging in any activity that breaches applicable Ghanaian law or international law; Attempting to obtain the personal information of other users through deception; Sharing login credentials with third parties. 13. Account Suspension & Termination 13.1 Termination by ErrSol ErrSol reserves the right to suspend or permanently terminate any User account at any time, with or without notice, for any of the following reasons: Violation of any provision of these Terms of Service; Engaging in prohibited conduct as defined in Section 12; Providing false information at registration or during identity verification; Repeated or serious complaint findings against the account; Failure to pay outstanding amounts owed to the Platform or to other Users; Any conduct deemed harmful to the Platform, its users, or its reputation. 13.2 Effect of Termination Upon account termination, you will lose access to the Platform and all associated data. Any pending jobs will be assessed on a case-by-case basis. Wallet balances at the time of termination for cause may be forfeited. ErrSol is not liable for any losses arising from account termination for cause. 13.3 Termination by User You may terminate your account at any time by contacting ErrSol support. Prior to termination, you must ensure all active jobs are completed or appropriately cancelled, all outstanding payments are settled, and no pending disputes remain unresolved. 14. Limitation of Liability To the maximum extent permitted by applicable law, ErrSol and its officers, directors, employees, and agents shall not be liable for: Any direct, indirect, incidental, special, consequential, or exemplary damages arising from your use of the Platform; The acts or omissions of any Worker or Client on or off the Platform; Loss of data, revenue, profits, or goodwill; Any unauthorised access to or alteration of your account or data; The quality, safety, or legality of any services performed through the Platform; Platform downtime, technical failures, or service interruptions. ErrSol's total aggregate liability to any User for any claim arising out of these Terms or the use of the Platform shall not exceed the total amount paid by that User to ErrSol in the twelve (12) months preceding the event giving rise to the claim. 15. Governing Law These Terms of Service and any disputes arising from them or from your use of the Platform shall be governed exclusively by the laws of the Republic of Ghana. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Ghana. By using the Platform, you submit to this jurisdiction. 16. Amendments ErrSol reserves the right to modify these Terms of Service at any time. When material changes are made, we will notify registered users by email and/or by a prominent notice on the Platform. Your continued use of the Platform after the effective date of any revised Terms constitutes your binding acceptance of those changes. If you do not agree to the updated Terms, you must cease using the Platform immediately. 17.
